SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) is the Ministry of Corporate Affairs’ integrated web form that combines company name reservation, incorporation, Director Identification Number (DIN) allotment, PAN, TAN, and — through the linked AGILE-PRO-S form — EPFO, ESIC, Profession Tax, and GST registration into a single online filing. It replaced what used to be five or six separate applications, cutting incorporation time significantly. SPICe+ is mandatory for registering any new Private Limited Company, OPC, or Section 8 Company in India.

In This Guide:

  • 1. Why SPICe+ Exists — What It Replaced
  • 2. SPICe+ Part A — Name Reservation
  • 3. SPICe+ Part B — The Actual Incorporation
  • 4. The Linked Forms You File Alongside It
  • 5. What You Get at the End
  • 6. Common Filing Mistakes
  • 7. Frequently Asked Questions

1. Why SPICe+ Exists — What It Replaced

Before SPICe+, incorporating a company in India meant filing separate applications for name approval, incorporation, DIN, PAN, TAN, and — separately again — EPFO, ESIC, and GST registration, often across different portals with different processing timelines. SPICe+ (introduced as an upgrade to the earlier SPICe form) consolidated all of this into one integrated filing on the MCA21 portal, which is why incorporation timelines have genuinely dropped from what used to be several weeks to often under two weeks.

2. SPICe+ Part A — Name Reservation

Part A handles your company name. You can propose up to two names in order of preference, and the system checks them against existing company names and trademarks. You have two options here: file Part A separately first to lock in your name before proceeding (useful if you’re not 100% ready with your other documents yet), or skip straight to filing your name proposal within Part B directly, saving a step but risking a full resubmission if the name gets rejected.

3. SPICe+ Part B — The Actual Incorporation

Part B is where the substantial filing happens. In one form, you submit:

  • Company incorporation details — registered office, share capital, main business activity
  • Director and subscriber details — for DIN allotment of directors who don’t already have one
  • PAN and TAN application — auto-processed alongside incorporation, no separate filing needed
  • e-MOA (Form INC-33) and e-AOA (Form INC-34) — your Memorandum and Articles of Association, filed electronically using standard MCA templates

Once submitted with the required Digital Signature Certificates, the ROC reviews and — assuming no queries are raised — issues the Certificate of Incorporation.

4. The Linked Forms You File Alongside It

Linked FormWhat It RegistersMandatory?
AGILE-PRO-SGST (optional), EPFO, ESIC, Profession Tax (state-dependent), bank account opening requestEPFO/ESIC mandatory; GST optional at this stage
e-MOA (INC-33)Memorandum of AssociationMandatory
e-AOA (INC-34)Articles of AssociationMandatory
INC-9Declaration by first directors and subscribersMandatory

A detail worth knowing: GST registration through AGILE-PRO-S is optional at the incorporation stage — many founders prefer to register separately once they’ve finalized their registered office and business specifics, rather than locking in GST details before the company technically exists.

5. What You Get at the End

Once approved, you receive the Certificate of Incorporation carrying your Company Identification Number (CIN), along with your company’s PAN and TAN — all issued together, no separate applications needed. EPFO and ESIC registration numbers (if applicable) are also generated automatically through the same filing.

6. Common Filing Mistakes

  • Proposing a name too similar to an existing trademark or registered company — triggers rejection and a full resubmission
  • Mismatched addresses between the registered office documents and the application
  • Not initiating Digital Signature Certificates early enough — this is often the actual bottleneck, not the form itself
  • Incorrect object clause wording in the e-MOA that doesn’t match the intended business activity

7. Frequently Asked Questions

Q1: What is SPICe+ form?

A: SPICe+ is the MCA’s integrated incorporation form that combines name reservation, company incorporation, DIN, PAN, TAN, and (via linked forms) EPFO, ESIC, and GST registration into a single online filing.

Q2: What does SPICe+ stand for?

A: Simplified Proforma for Incorporating Company Electronically Plus — an upgraded version of the original SPICe form, now integrating more registrations into one filing.

Q3: Is SPICe+ mandatory for company registration in India?

A: Yes, for incorporating a new Private Limited Company, One Person Company, or Section 8 Company, SPICe+ is the only route — it’s mandatory.

Q4: What is the difference between SPICe+ Part A and Part B?

A: Part A handles company name reservation. Part B handles the full incorporation filing — director details, DIN, PAN, TAN, and e-MOA/e-AOA. You can file Part A separately first, or combine both in one submission.

Q5: Is GST registration mandatory through SPICe+?

A: No — GST registration via the linked AGILE-PRO-S form is optional at incorporation stage. Many businesses register for GST separately once their business address and details are finalized.

Q6: How long does SPICe+ approval take?

A: Typically 5-10 business days if there are no name conflicts or document discrepancies, though this can extend if the ROC raises a query requiring resubmission.
